Institution of Executive Officers System
and
Reorganization of Board of Directors
Yokohama, Japan - JGC Corporation has announced the establishment of an Executive Officers System, along with the reorganization of the Board of Directors. These changes will take effect on June 29, 2004, following the general stockholders' meeting.
1.
Purpose of New System
To keep pace with the rapidly changing business climate, an Executive Officers System shall be instituted to provide the speed and flexibility needed to identify and recruit personnel possessing the professional competence to assume business leadership positions, especially from within younger employees of the company. The new system will help make a clear delineation between decision-making and supervision functions and business operation, resulting in a more effective management and responsibility system for corporate operations.

Overview of New System
(1) Appointment of Executive Officers
Executive officers shall be appointed (maximum number of 20) to concentrate on business operations.
(2) Reduction in Number of Directors
The number of directors stipulated in the articles of incorporation is to be reduced from current maximum of 30 to 15 directors.
(3) Appointment of Outside Director
A director from outside of JGC will be appointed.
